These Terms and Conditions (“Terms”) govern your use of the ALTUM Fuel Delivery Service (“Service”) provided by ALTUM Ltd (“ALTUM”, “we”, “us”, or “our”). By accessing or using our Service, you agree to be bound by these Terms. If you do not agree with these Terms, please do not use our Service.

1. Definitions

“Customer”: Any individual or entity that subscribes to or uses the ALTUM Service.
“Subscription”: A recurring service plan for fuel delivery as offered by ALTUM.
“Delivery”: The process of providing fuel to the Customer’s vehicle as per the agreed service schedule.
“Vehicle”: The automobile or other motor vehicle to which fuel is delivered.
“NDAs”: Non-disclosure agreements that may be executed between ALTUM and VIP clients to ensure confidentiality.
“VAT”: Value Added Tax, which is charged in addition to the subscription or delivery fees, where applicable.

2. Acceptance of Terms

By subscribing to or using ALTUM’s Service, you agree to these Terms in full. ALTUM reserves the right to modify these Terms at any time. Changes will be effective immediately upon posting on our website, and continued use of the Service constitutes acceptance of such changes.

3. Eligibility

The Service is available to individuals and businesses that are legally capable of entering into binding contracts.
ALTUM reserves the right to refuse service to anyone for any reason at its sole discretion.

4. Service Description

ALTUM Service: ALTUM provides a premium on-demand fuel delivery service to Customers’ designated vehicle locations.
Subscription Plans: We offer subscription-based models and on-demand delivery options. Specific details, including pricing (e.g., £300 per month plus VAT) and delivery frequency, are provided on our website and are subject to change.
Service Area: Our Service is offered within specified regions. ALTUM may adjust or limit service areas at its discretion.

5. Subscription and Payment Terms

Subscription Fees: Subscription fees are billed monthly (or annually if agreed) at the prevailing rates published on our website.
Payment Method: All payments must be made through our secure payment gateway. You agree to pay all fees and charges incurred in connection with your subscription.
VAT: All fees are exclusive of VAT, which will be added where applicable.
Refunds and Cancellation:
- Subscriptions can be cancelled by giving [notice period, e.g., 30 days] written notice.
- Refunds will only be issued in accordance with our Refund Policy as detailed on our website.
Price Changes: ALTUM reserves the right to adjust subscription fees upon reasonable notice to Customers.

6. Delivery Terms

Scheduling: Deliveries are scheduled based on the Customer’s chosen subscription plan. ALTUM will use commercially reasonable efforts to adhere to scheduled delivery windows but is not liable for delays due to unforeseen circumstances.
Delivery Requirements: The Customer must ensure that the delivery location is accessible and that the vehicle is parked in a safe, legal, and accessible area.
Risk of Loss: Risk of loss for fuel delivered transfers to the Customer upon successful delivery confirmation by our driver.
Changes or Cancellations: Any changes to scheduled deliveries must be communicated to ALTUM at least [specify notice period, e.g., 2 hours] in advance.

7. Customer Obligations

Accurate Information: Customers must provide accurate, complete, and up-to-date information regarding their location, vehicle details, and payment information.
Compliance: Customers agree to comply with all applicable laws and ALTUM’s policies, including those related to safety and delivery.
Use of Service: The Service is intended solely for lawful use. Customers must not use the Service for any illegal or unauthorized purpose.

8. Confidentiality and NDAs

ALTUM may, at its discretion, enter into Non-Disclosure Agreements (NDAs) with VIP or high-profile clients. In such cases, both parties agree to maintain strict confidentiality regarding all sensitive information.

9. Intellectual Property

All content, logos, designs, and software provided by ALTUM remain the exclusive property of ALTUM.
Customers are granted a non-exclusive, non-transferable license to use the Service in accordance with these Terms.

10. Disclaimers and Limitation of Liability

Service Availability: ALTUM does not guarantee uninterrupted Service. We are not liable for delays or interruptions beyond our reasonable control.
Warranty Disclaimer: The Service is provided “as is” without any warranties of any kind, either express or implied.
Limitation of Liability: To the fullest extent permitted by law, ALTUM’s total liability for any claims arising from the use of the Service shall not exceed the amount paid by the Customer for the Service in the preceding 12 months.
Force Majeure: ALTUM shall not be liable for any failure or delay in performance due to events outside its reasonable control.

11. Indemnification

Customers agree to indemnify and hold harmless ALTUM, its directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including legal fees) arising out of or related to:

The use or misuse of the Service.
A breach of these Terms.
Any violation of applicable laws or regulations.

12. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of England and Wales.
Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

13. Changes to the Terms

ALTUM reserves the right to modify these Terms at any time.
Changes will be effective immediately upon posting on our website. Continued use of the Service constitutes acceptance of the modified Terms.
